Please read these Terms and Conditions carefully before booking a Rezilliance retreat.

By completing a booking, making a payment or accepting these Terms and Conditions during the booking process, you agree to be bound by these Terms and Conditions.

These Terms and Conditions form an agreement between you and Strategic Healthcare Business Associates Pty Ltd trading as Rezilliance.

1. ABOUT THESE TERMS
These Terms and Conditions apply to any person who books or attends a retreat, program or related experience operated by Rezilliance (a Retreat).

In these Terms and Conditions:

  • Rezilliance, we, us or our means Strategic Healthcare Business Associates Pty Ltd trading as Rezilliance and, where appropriate, its directors, employees, contractors, facilitators and agents.

  • you, your or Participant means the person making the booking and/or attending the Retreat.

  • Retreat Fee means the amount payable for the particular Retreat as specified at the time of booking.

Specific inclusions, dates, location, eligibility requirements, pricing, payment arrangements and other details may vary between Retreats. The information provided on the relevant Retreat booking page forms part of these Terms and Conditions.

If there is any inconsistency between these general Terms and Conditions and specific written terms provided for a particular Retreat, the specific Retreat terms will apply to the extent of that inconsistency.

2. ELIGIBILITY

‍Participants must be at least 18 years of age.

Certain Retreats may have additional eligibility requirements. For example, a Retreat may be designated specifically for doctors, medical practitioners or another defined professional group.

Where eligibility requirements are specified for a Retreat, you confirm when booking that you meet those requirements.

Rezilliance reserves the right to request reasonable evidence that a Participant meets an applicable eligibility requirement.

A booking may not be transferred to a person who does not satisfy the eligibility requirements for the relevant Retreat.

3. BOOKINGS AND PAYMENT

Your booking is confirmed once:

  • you have completed the required booking process;

  • you have accepted these Terms and Conditions; and

  • any payment required at the time of booking has been successfully received.

The Retreat Fee, deposit requirements, payment schedule and applicable payment due dates will be specified for each Retreat at the time of booking.

Depending on the Retreat, Rezilliance may require:

  • payment of the full Retreat Fee at the time of booking; or

  • an initial deposit followed by one or more subsequent payments.

Where a payment schedule applies, all amounts must be paid by the specified due dates.

If an amount remains unpaid after its due date, we may contact you and provide a reasonable opportunity to make payment. If payment remains outstanding, we may cancel your booking and retain amounts already paid to the extent permitted by law and in accordance with the cancellation terms disclosed for the relevant Retreat.

Any applicable payment processing or credit card fee will be disclosed before payment is completed.

You are responsible for ensuring that the information provided as part of your booking is accurate and complete.

4. 48-HOUR COOLING-OFF PERIOD

You may cancel your booking within 48 hours of purchase and receive a full refund of the Retreat Fee paid, provided the Retreat has not commenced.

Cancellation must be submitted in writing to:

Refunds will be returned using the original payment method wherever reasonably possible.

5. CANCELLATION BY YOU AFTER THE COOLING-OFF PERIOD

After the 48-hour cooling-off period, Retreat Fees are non-refundable for cancellations, inability to attend or changes of mind, except where otherwise required by law, including under the Australian Consumer Law.

We strongly recommend that you consider comprehensive travel insurance to protect against circumstances that may prevent you from attending, including illness, injury, family emergencies and travel disruption.

Sold-out Retreats and waitlists

Where a Retreat is sold out, Rezilliance may maintain a waitlist.

If you need to cancel your booking, we will make reasonable efforts to offer your place to another eligible person on the waitlist.

If:

  1. another eligible Participant agrees to take your place; and

  2. Rezilliance receives payment for that replacement booking,

we will refund the Retreat Fee paid by you less a $200 administration fee.

We cannot guarantee that a cancelled place will be filled.

If your place cannot be filled, the standard cancellation terms above will continue to apply

6. TRANSFER OF YOUR BOOKING

You may request to transfer your booking to another eligible person.

All transfer requests must:

  • be made in writing;

  • identify the proposed replacement Participant;

  • be made sufficiently in advance for Rezilliance and the venue to reasonably accommodate the change; and

  • be approved by Rezilliance before the transfer takes effect.

Approval will not be unreasonably withheld.

The replacement Participant must satisfy all eligibility requirements applicable to the Retreat and must agree to these Terms and Conditions.

Where a Retreat is restricted to doctors, medical practitioners or another defined group, the replacement Participant must meet that requirement.

We may be unable to accommodate a late transfer where arrangements such as accommodation, catering, dietary requirements, treatments or other services have already been finalised.

Unless Rezilliance expressly agrees otherwise, a booking cannot be sold or transferred for profit.

7. MINIMUM PARTICIPANT NUMBERS

A minimum number of Participants may be required for a Retreat to proceed.

Unless otherwise specified for a particular Retreat, the minimum number is 10 Participants.

Rezilliance reserves the right to cancel a Retreat if minimum Participant numbers are not reached.

Where we cancel a Retreat solely because minimum numbers have not been reached, we will provide Participants with at least

45 days' notice before the scheduled Retreat commencement date.

If Rezilliance cancels a Retreat because minimum numbers have not been reached, you will receive a full refund of all Retreat Fees paid to Rezilliance for that Retreat.

Rezilliance will not be responsible for costs you have incurred separately, such as flights, transfers, additional accommodation or travel insurance, except to the extent required by law.

8. CANCELLATION OR RESCHEDULING BY REZILLIANCE

Occasionally circumstances may arise that require us to cancel, postpone or reschedule a Retreat.

Cancellation

If Rezilliance cancels a Retreat and does not offer a suitable rescheduled Retreat or alternative arrangement, we will refund the Retreat Fees you have paid to us.

Except where required by law, Rezilliance is not responsible for costs incurred independently by you in connection with your attendance, including flights, transport, accommodation booked separately, travel insurance or other incidental expenses.

Rescheduling

If a Retreat must be rescheduled due to circumstances outside our reasonable control, your booking will ordinarily be transferred to the rescheduled dates.

If you are unable to attend the rescheduled Retreat, please advise us as soon as reasonably possible. Where appropriate in the circumstances, you may elect to receive a refund of Retreat Fees paid rather than attend the rescheduled dates.

Nothing in these Terms and Conditions limits any rights or remedies available to you under the Australian Consumer Law or other rights that cannot lawfully be excluded.

9. CIRCUMSTANCES OUTSIDE OUR REASONABLE CONTROL

Rezilliance will make reasonable efforts to deliver each Retreat as advertised.

However, events may occur that are outside our reasonable control, including but not limited to:

  • fire, bushfire, flood, severe weather or natural disaster;

  • venue closure or loss of access to the venue;

  • government restrictions or public health directions;

  • significant transport disruption;

  • serious illness or incapacity affecting a key facilitator where a suitable replacement cannot reasonably be arranged;

  • failure of a significant third-party supplier;

  • industrial action;

  • civil disturbance; or

  • other events that make delivery of the Retreat impossible, unsafe or materially impracticable.

Where such circumstances arise, Rezilliance may reasonably modify, postpone, relocate or cancel the Retreat.

‍ ‍

We will communicate any material change to affected Participants as soon as reasonably practicable and will work to provide an appropriate alternative, rescheduling arrangement, credit or refund having regard to the circumstances and your rights under applicable law.

‍ ‍

10. RETREAT PROGRAM AND CHANGES

Retreat programs are thoughtfully designed in advance, but flexibility may sometimes be required.

Rezilliance reserves the right to make reasonable changes to:

  • facilitators, presenters or practitioners;

  • session times;

  • activities;

  • workshops;

  • treatments;

  • meals;

  • locations within the Retreat venue;

  • the sequence of the program; or

  • other elements of the itinerary.

Where reasonably necessary, Rezilliance may substitute a facilitator, practitioner, activity or service with an appropriate alternative.

Reasonable program changes do not automatically entitle a Participant to cancel or receive a refund, provided the overall nature and substance of the Retreat have not materially changed and subject always to your rights under applicable law.

11. ACCOMMODATION

Unless otherwise specified for a particular Retreat, accommodation is provided on a single-occupancy basis.

Room categories are allocated on a first-booked basis and subject to availability, unless you have specifically purchased and paid for a particular room type or upgrade.

Where a particular room category has been purchased and confirmed, Rezilliance will make reasonable efforts to provide that category or an equivalent alternative.

Requests relating to specific room numbers, locations, views, floors or other preferences may be considered but cannot be guaranteed.

Accommodation is also subject to the reasonable rules and policies of the Retreat venue.

12. TRAVEL AND TRANSPORT

Unless specifically stated as an inclusion for a particular Retreat, transport to and from the Retreat venue is not included in the Retreat Fee.

You are responsible for making and paying for your own travel arrangements to and from the Retreat.

You are also responsible for ensuring you arrive in sufficient time for the Retreat program.

Rezilliance is not responsible for delays, cancellations or expenses associated with your travel arrangements, except where required by law.

13. TRAVEL INSURANCE

We strongly recommend that you obtain comprehensive travel insurance appropriate to your circumstances as soon as you book your Retreat.

You should consider insurance that provides appropriate cover for circumstances including:

  • illness or injury;

  • inability to attend the Retreat;

  • cancellation or interruption of travel;

  • flight or transport disruption;

  • loss of luggage or personal belongings; and

  • other unforeseen circumstances.

It is your responsibility to determine whether a particular insurance policy provides suitable coverage.

14. HEALTH, WELLBEING AND PARTICIPATION

Rezilliance Retreats may include a range of wellbeing and personal development activities. Depending on the particular Retreat, these may include activities such as:

  • mindful movement or yoga;

  • meditation;

  • breathwork;

  • sound therapy;

  • coaching;

  • workshops;

  • walking or nature-based activities;

  • massage or other wellness treatments; and

  • other optional wellbeing experiences.

Participation in individual activities is generally voluntary unless expressly stated otherwise.

You are responsible for assessing whether an activity is appropriate for you and for participating within your own capabilities.

Before participating, you must inform Rezilliance or the relevant facilitator of any medical condition, injury, allergy, pregnancy, medication, physical limitation or other circumstance that may reasonably affect your ability to participate safely.

You should seek advice from an appropriate healthcare professional before participating if you have concerns about whether an activity is suitable for you.

Rezilliance and its facilitators may reasonably modify or decline your participation in a particular activity where they consider this necessary to protect your health or safety or the health or safety of another person.

15. MEDICAL AND PROFESSIONAL DISCLAIMER

Rezilliance Retreats are intended to support wellbeing, reflection, learning, personal development and connection.

Unless expressly stated otherwise in relation to a specific professional service, the information, discussions, activities and materials provided during a Retreat are general in nature.

They are not intended to constitute individual medical, psychological, psychiatric, legal, financial or other professional advice and should not be relied upon as a substitute for advice appropriate to your individual circumstances.

Attendance at a Retreat does not, by itself, create a doctor-patient, psychologist-patient or other clinical relationship between a Participant and Rezilliance, Sue Abhary, a facilitator or another Participant.

If you have a physical or mental health concern, you should seek appropriate advice from your own qualified healthcare professional.

No particular health, professional, personal or other outcome is guaranteed as a result of attending a Rezilliance Retreat.

16. DIETARY REQUIREMENTS AND ALLERGIES

You must notify Rezilliance during the registration process of any relevant:

  • food allergies;

  • dietary requirements;

  • medical dietary requirements;

  • animal allergies where animals may be involved in a Retreat activity; or

  • other allergies or sensitivities that may reasonably affect your participation.

Rezilliance and the venue will make reasonable efforts to accommodate dietary requirements and allergies that are disclosed in advance.

However, unless expressly confirmed otherwise, we cannot guarantee an entirely allergen-free environment, particularly where food preparation, shared facilities, natural environments or animals are involved.

Participants with severe or potentially life-threatening allergies are responsible for taking appropriate personal precautions, carrying any medication prescribed for them and discussing their requirements with Rezilliance before attending.

17. THIRD-PARTY FACILITATORS AND SERVICE PROVIDERS

Rezilliance may engage appropriately experienced third parties to provide parts of the Retreat program, including facilitators, practitioners, therapists, coaches, activity providers and venue personnel.

Where reasonably necessary, Rezilliance may substitute a facilitator or provider with another suitably appropriate person.

Some optional services or activities may be provided directly by the Retreat venue or another third party and may be subject to that provider's own terms and conditions.

Where this is the case, we will endeavour to make this clear.

18. MASSAGE, TREATMENTS AND WELLNESS SERVICES

Where massage or another wellness treatment is included as part of a Retreat, availability and appointment times may be subject to the Retreat program and the availability of the relevant practitioner.

You must disclose relevant health conditions, injuries, allergies, pregnancy or other matters requested by the treatment provider before receiving treatment.

You are responsible for determining whether a treatment is appropriate for you and should seek medical advice where necessary.

19. OPTIONAL AND FREE-TIME ACTIVITIES

A Retreat may provide periods of free time during which Participants may choose to use venue facilities, explore surrounding areas or undertake activities independently.

Activities undertaken independently and outside the organised Retreat program are undertaken at your own discretion.

You must comply with any applicable venue rules, safety instructions and conditions of use.

Where an activity or service is provided directly by the venue or another third-party provider rather than Rezilliance, that provider may have separate terms, safety requirements and liability arrangements.

20. PARTICIPANT CONDUCT

Rezilliance is committed to providing a safe, respectful and supportive Retreat environment.

You agree to:

  • treat other Participants, facilitators, venue staff and service providers respectfully;

  • follow reasonable safety directions;

  • respect personal boundaries;

  • avoid conduct that is threatening, abusive, discriminatory, harassing, dangerous or seriously disruptive;

  • respect the property of Rezilliance, the venue and other Participants; and

  • comply with reasonable venue rules.

‍ ‍

Rezilliance may take reasonable action where a Participant's behaviour creates a safety risk or materially affects the experience of others.

‍ ‍

In serious circumstances, this may include requiring a Participant to leave an activity or the Retreat.

‍ ‍

Where a Participant is removed because of serious misconduct or a material breach of these Terms and Conditions, no refund will ordinarily be payable for services already provided or costs that Rezilliance cannot reasonably recover, subject to applicable law.

‍ ‍

21. ALCOHOL

‍ ‍

Alcohol may be available at certain Retreat meals or activities.

‍ ‍

Participants are responsible for consuming alcohol responsibly and for considering any medication, medical condition or other circumstance relevant to alcohol consumption.

‍ ‍

Rezilliance, the venue and relevant service providers reserve the right to refuse the service of alcohol in accordance with applicable law and responsible service requirements.

‍ ‍

A Participant whose intoxication creates a safety risk or materially disrupts the Retreat may be asked not to participate in an activity or, in serious circumstances, to leave the Retreat.

‍ ‍

22. CONFIDENTIALITY AND RESPECT FOR OTHER PARTICIPANTS

‍ ‍

Rezilliance Retreats are intended to provide an environment in which Participants can engage openly, reflect and connect with others.

‍ ‍

During workshops, discussions, coaching sessions or informal conversations, another Participant may choose to share personal, professional or sensitive information.

‍ ‍

You agree to respect the privacy of other Participants and not disclose identifiable personal or confidential information shared by another Participant during the Retreat without their permission.

‍ ‍

In particular, you must not:

‍ ‍

  • publicly attribute another Participant's personal story or comments to them without consent;

  • publish confidential information shared during Retreat sessions;

  • record another Participant's personal disclosures without permission; or

  • use information obtained at the Retreat in a way that unreasonably compromises another person's privacy.

‍ ‍

This obligation does not prevent disclosure where required by law or where disclosure is reasonably necessary because there is a serious concern regarding the safety of a person or the public.

‍ ‍

Rezilliance will also treat personal information shared with us with appropriate respect and confidentiality, subject to our Privacy Policy and legal obligations.

‍ ‍

23. PHOTOGRAPHY AND VIDEO

‍ ‍

Photography and video recording may occur during a Retreat.

‍ ‍

Rezilliance recognises that Participants may have different preferences regarding the use of their image.

‍ ‍

Where photography or video is intended for Rezilliance marketing, promotional or communications purposes, Participants will be given an opportunity to communicate their consent or preference regarding identifiable use of their image.

‍ ‍

Choosing not to consent to identifiable promotional photography will not prevent you from participating in the Retreat.

‍ ‍

We ask Participants to respect the preferences of others and not publish identifiable images or recordings of another Participant without their permission.

‍ ‍

24. RECORDING OF RETREAT SESSIONS

‍ ‍

Unless Rezilliance expressly provides permission, Participants must not make audio or video recordings of:

‍ ‍

  • workshops;

  • presentations;

  • coaching sessions;

  • facilitated discussions;

  • meditation or breathwork sessions; or

  • other structured Retreat content.

‍ ‍

This restriction protects both intellectual property and Participant privacy.

‍ ‍

Personal photographs may be taken where appropriate, provided they respect the privacy and preferences of other Participants and any venue rules.

‍ ‍

25. INTELLECTUAL PROPERTY

‍ ‍

The Retreat program and materials may contain intellectual property belonging to Rezilliance, its facilitators or third-party licensors.

‍ ‍

This may include:

‍ ‍

  • workbooks;

  • exercises;

  • frameworks;

  • written materials;

  • presentations;

  • recordings;

  • videos;

  • online learning content;

  • methodologies;

  • graphics;

  • branding; and

  • other educational or creative material.

‍ ‍

Unless otherwise stated, Retreat materials are provided to you for your personal, non-commercial use.

‍ ‍

You must not, without prior written permission from the relevant rights holder:

‍ ‍

  • reproduce or distribute substantial Retreat materials;

  • sell or commercially exploit Retreat materials;

  • make materials publicly available;

  • present proprietary content as your own;

  • provide paid training substantially reproducing protected Retreat materials; or

  • share restricted online content or login credentials with another person.

‍ ‍

Nothing in these Terms prevents you from applying knowledge, insights or skills you personally gain through participating in the Retreat.

‍ ‍

26. ONLINE CONTENT

‍ ‍

Where access to digital or online learning content forms part of a Retreat, any access period, platform requirements or additional conditions will be specified in connection with the particular Retreat.

‍ ‍

Unless expressly stated otherwise, access is for the registered Participant only.

‍ ‍

Login details must not be shared with another person.

‍ ‍

We may make reasonable changes to the format, hosting platform or presentation of online content provided this does not materially reduce the service being provided.

‍ ‍

27. PERSONAL PROPERTY

‍ ‍

You are responsible for your own belongings during the Retreat.

‍ ‍

Rezilliance is not responsible for lost, stolen or damaged personal property except to the extent that loss or damage results from a matter for which Rezilliance is legally responsible.

‍ ‍

You should take reasonable precautions to secure valuables and follow any guidance provided by the Retreat venue.

‍ ‍

28. PRIVACY

‍ ‍

Rezilliance collects personal information as part of the booking and delivery of its Retreats.

‍ ‍

This may include information such as:

‍ ‍

  • your name and contact details;

  • payment and booking information;

  • professional information relevant to Retreat eligibility;

  • dietary requirements;

  • allergy information;

  • health or accessibility information that you choose or are required to provide for safe participation; and

  • other information reasonably required to administer the Retreat.

‍ ‍

We may disclose relevant information to third parties involved in providing the Retreat where reasonably necessary, such as the Retreat venue, caterers, treatment providers or facilitators.

‍ ‍

Personal information will be handled in accordance with Rezilliance's Privacy Policy and applicable privacy law.

‍ ‍

By providing information to us, you confirm that the information is accurate to the best of your knowledge and acknowledge that we may use it for purposes reasonably connected with your booking and participation in the Retreat.

‍ ‍

29. AUSTRALIAN CONSUMER LAW

‍ ‍

Our services come with rights and guarantees that may apply under the Australian Consumer Law.

‍ ‍

Nothing in these Terms and Conditions is intended to exclude, restrict or modify any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

‍ ‍

Where these Terms and Conditions use expressions such as “to the extent permitted by law”, they are intended to operate subject to those non-excludable rights.

‍ ‍

30. LIABILITY

‍ ‍

To the extent permitted by law, Rezilliance is not responsible for loss or damage that:

‍ ‍

  • was not reasonably foreseeable;

  • results from your failure to follow reasonable instructions;

  • results from information you failed to disclose where that information was reasonably relevant to safe participation;

  • results from an independent activity undertaken outside the organised Retreat program;

  • is caused by a third-party provider acting independently of Rezilliance; or

  • arises from circumstances outside Rezilliance's reasonable control.

‍ ‍

You acknowledge that some Retreat activities involve ordinary risks associated with physical movement, travel, natural environments and wellbeing activities.

‍ ‍

You are responsible for participating within your capabilities, following reasonable safety instructions and informing relevant facilitators of circumstances affecting your safe participation.

‍ ‍

Nothing in this clause excludes or limits liability to the extent that it cannot lawfully be excluded or limited, including any applicable rights under the Australian Consumer Law.

‍ ‍

31. FEEDBACK AND OUTCOMES

‍ ‍

Rezilliance welcomes feedback from Participants.

‍ ‍

Any testimonials, case studies or descriptions of Participant experiences published by Rezilliance represent individual experiences and should not be interpreted as a guarantee that another Participant will achieve the same outcome.

‍ ‍

Where Rezilliance wishes to use identifiable Participant feedback or a testimonial for promotional purposes, appropriate permission will be obtained.

‍ ‍

32. COMPLAINTS

‍ ‍

If you have a concern or complaint relating to your booking or Retreat experience, we encourage you to contact us so that we have an opportunity to address the matter.

We will endeavour to consider complaints fairly and respond within a reasonable period.

Nothing in this clause limits any right you may have to contact a consumer protection agency or pursue another remedy available under law.

33. NOTICES AND COMMUNICATIONS

‍ ‍

Cancellation notices, transfer requests and other formal communications relating to these Terms and Conditions should be sent to:

Notices sent by email are treated as received when they are capable of being retrieved by Rezilliance, provided no delivery failure notification is received.

‍ ‍

We may communicate with you using the email address or other contact details supplied when you booked.

‍ ‍

You are responsible for notifying us if your contact details change.

‍ ‍

34. CHANGES TO THESE TERMS

‍ ‍

We may update these Terms and Conditions from time to time.

‍ ‍

The version applicable to your booking will generally be the version in effect when you made your booking, unless:

‍ ‍

  • a change is required by law;

  • you agree to the amended terms; or

  • the amendment does not materially disadvantage you.

‍ ‍

The current version of these Terms and Conditions may be published on the Rezilliance website.

‍ ‍

35. GENERAL

‍ ‍

If Rezilliance does not immediately enforce a provision of these Terms and Conditions, this does not mean we waive our right to enforce it later.

‍ ‍

If any provision of these Terms and Conditions is found to be invalid or unenforceable, that provision will be read down to the extent necessary or, if that is not possible, severed. The remaining provisions will continue to apply.

‍ ‍

These Terms and Conditions, together with the specific details supplied for your Retreat and any other terms expressly incorporated into your booking, form the agreement between you and Rezilliance in relation to your booking.

‍ ‍

36. GOVERNING LAW

These Terms and Conditions are governed by the laws of Victoria, Australia.

You and Rezilliance submit to the jurisdiction of the courts and tribunals of Victoria and any courts entitled to hear appeals from them.

Nothing in this clause limits any rights you may have under applicable consumer law.
